Terms Of Use

These Terms of Use (“Terms”) govern your access to and use of NdoloPay LLC’s (“NdoloPay”) mobile application and website (collectively, the “Platform”). The Platform provides local wallet-to-wallet transfers, Njangi group management, bill payment functionality, and other related services (collectively, the “Services”). Remittance or any cross-border transfer services are not offered by NdoloPay. By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree to any part of these Terms, you must immediately discontinue using the Services.

1. Acceptance and Changes to Terms
- Acceptance. By creating an account or otherwise using any of our Services, you represent that you have read, understood, and agree to these Terms.
- Changes to Terms. NdoloPay may modify these Terms at any time, at its sole discretion. If any changes are material, we will notify you via email, a notice within the Platform, or other appropriate channels. Your continued use of the Services after such changes constitute your acceptance of the new Terms.

2. Arbitration Agreement
- Dispute Resolution. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved amicably between the parties.
- Arbitration. If a dispute cannot be resolved amicably, it shall be submitted to arbitration administered under the rules of the GICAM Arbitration Centre in Douala, Cameroon. The arbitration shall be conducted in English or French as agreed by the parties.
- Costs. Each party shall bear its own costs of arbitration unless the arbitrator decides otherwise.

3. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Cameroon. Any disputes arising from these Terms that are not subject to arbitration shall be subject to the exclusive jurisdiction of the competent courts located in Douala, Cameroon.

4. Privacy and Data Protection
Your privacy is important to us. Please refer to our Privacy Policy at www.ndolopay.com/privacy for detailed information on how we collect, use, and safeguard your data. By using the Services, you acknowledge that you have read our Privacy Policy and consent to our data practices.

5. Eligibility and User Registration
- Eligibility. You must be at least 18 years old to use the Services.
- User Registration. To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to update it as necessary to maintain its accuracy.
- Account Security. You are responsible for maintaining the confidentiality of your account credentials. You agree to immediately notify NdoloPay if you suspect any unauthorized use or breach of security.

6. Description of Services (Excluding Remittance)
NdoloPay’s Services include, but are not limited to:
- Local Wallet-to-Wallet Transfers. Instantly transfer funds between NdoloPay wallets within Cameroon.
- Njangi Feature. Create and manage rotating savings groups (Njangi) via the app, track contributions, and disburse funds easily.
- Bill Payment. Pay utility bills, school fees, and other approved invoices directly through your NdoloPay wallet.
- Other Related Functionalities. Additional features or functionalities may be introduced from time to time to enhance user experience.
Note: NdoloPay does not provide any cross-border or international remittance services.

7. Fees and Charges
- Transaction Fees. Certain transactions (e.g., wallet-to-wallet transfers, bill payments, Njangi contributions) may incur fees, which are clearly disclosed in the app before confirming a transaction.
- No Hidden Costs. We strive to maintain transparency. Any applicable fees will be displayed prior to completing a transaction.
- Changes to Fees. We reserve the right to change our fee structure. If we do so, we will notify you in advance.

8. Refund and Cancellation Policy
- Non-Refundable Transactions. All transactions made through NdoloPay (e.g., wallet loads, peer-to-peer transfers, bill payments, Njangi contributions) are generally final and non-refundable.
- Exceptions. Refunds or cancellations may be granted at NdoloPay’s sole discretion under extraordinary circumstances (e.g., proven fraud or system error) or as required by law.

9. User Conduct and Restrictions
By using the Services, you agree not to:
- Violate any laws, regulations, or third-party rights. Engage
- in fraudulent, malicious, or deceptive activities.
- Misrepresent your identity or affiliations. Interfere with the
- operation of the Platform or circumvent security measures.
- Upload or distribute harmful or objectionable content.
We reserve the right to suspend or terminate your account if you violate these restrictions.

10. Payment Processing
All payments within the Platform are facilitated via MTN Mobile Money and Orange Money APIs or other approved partners. These third-party services have their own terms and privacy policies, and NdoloPay is not liable for issues arising from their performance.

11. Intellectual Property
- Ownership. NdoloPay and its licensors own all intellectual property rights in the Platform and Services, including but not limited to software, trademarks, logos, and text.
- License to Use. Subject to your compliance with these Terms, NdoloPay grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal or internal business purposes.

12. Indemnification
You agree to indemnify, defend, and hold harmless NdoloPay LLC, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, and liabilities arising out of or related to your use of the Services, violation of these Terms, or infringement of any rights of a third party.

13. Limitation of Liability
To the fullest extent permitted by applicable law, NdoloPay and its officers, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or other intangible losses resulting from your use of or inability to use the Services. In any case, NdoloPay’s aggregate liability will not exceed the total fees you paid to NdoloPay in the six (6) months preceding the event giving rise to liability or the sum of one hundred (100) U.S. dollars, whichever is greater.

14. Feedback
If you submit suggestions, ideas, or feedback to NdoloPay regarding the Services, you grant NdoloPay a perpetual, irrevocable, worldwide license to use such feedback without obligation or compensation to you.

15. Account Inactivity and Data Retention
NdoloPay may deactivate or terminate accounts that have been inactive for twelve (12) consecutive months. Data retention periods are described in our Privacy Policy.

16. Assignment
You may not assign or transfer your rights or obligations under these Terms without NdoloPay’s prior written consent. NdoloPay may freely assign these Terms as it deems appropriate.

17. Notices
Any notices to you will be provided via the email address associated with your account or through prominent postings within the Platform. You may provide notices to us at admin@ndolopay.com.

18. Severability and Waiver
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in effect. NdoloPay’s failure to enforce any provision shall not be considered a waiver.

19. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by NdoloPay, constitute the entire agreement between you and NdoloPay regarding the Services and supersede any prior agreements.
